Legal Agreement and Binding Nature

These Terms and Conditions constitute a legally binding agreement between you and MetricWise. By accessing our website, using our services, or engaging with our content, you acknowledge that you have read, understood, and agree to be bound by these terms.

This agreement governs your legal responsibilities, conduct requirements, and the limitations of liability in your relationship with MetricWise. Please review these terms carefully before proceeding.

Prohibited Activities and Behaviors

The following activities are strictly prohibited and may result in immediate termination of services:

Security and System Integrity

  • Introducing malware, viruses, or harmful code
  • Interfering with service functionality or security measures
  • Reverse engineering proprietary software or methodologies

Content and Communication

  • Submitting false, misleading, or fraudulent information
  • Harassment, threats, or abusive communication
  • Spam, unsolicited communications, or promotional abuse
  • Impersonation of individuals or organizations

Business and Legal Violations

  • Illegal business activities or promotion of illegal services
  • Money laundering, fraud, or financial crimes
  • Violation of privacy rights or data protection laws
  • Infringement of intellectual property rights

Content Guidelines and Restrictions

When providing content or data for our services, you must ensure:

  • Accuracy: All information provided is truthful and accurate to the best of your knowledge
  • Ownership: You have legal rights to the data and content you share with us
  • Compliance: Content complies with applicable laws and platform policies
  • Appropriateness: Content is suitable for professional business purposes

Age Restrictions and Requirements

Minimum Age: You must be at least 18 years old or the age of majority in your jurisdiction to enter into this agreement.

Limitation of Liability

To the maximum extent permitted by law, MetricWise's total liability to you for any damages arising from or related to this agreement shall not exceed the amount paid by you for services in the 12 months preceding the claim.

Excluded Damages

We shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Loss of data, goodwill, or reputation
  • Business interruption or downtime costs
  • Third-party claims or actions

Exceptions

This limitation does not apply to damages resulting from gross negligence, willful misconduct, or breach of confidentiality obligations.

Indemnification Obligations

You agree to indemnify, defend, and hold harmless MetricWise from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with:

  • Your violation of these Terms and Conditions
  • Your use of our services in violation of applicable laws
  • Your infringement of third-party intellectual property rights
  • Any false, misleading, or inaccurate information you provide
  • Your violation of privacy rights or data protection laws
  • Any breach of your confidentiality obligations

Force Majeure Provisions

Neither party shall be liable for any delay or failure to perform due to circumstances beyond their reasonable control, including:

  • Natural disasters and extreme weather events
  • Government actions, regulations, or sanctions
  • War, terrorism, or civil unrest
  • Internet or telecommunications failures
  • Third-party platform outages or restrictions
  • Labor strikes or workforce disruptions
  • Pandemics or public health emergencies
  • Technical failures beyond our control

Legal Information and Dispute Resolution

Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Cyprus and the European Union, without regard to conflict of law principles.

Exclusive Jurisdiction

Any disputes arising under this agreement shall be subject to the exclusive jurisdiction of the courts of Limassol, Cyprus. Both parties consent to personal jurisdiction in these courts and waive any objection to venue.

Dispute Resolution Procedures

Step 1: Direct Negotiation

Before initiating formal proceedings, parties must attempt to resolve disputes through good-faith direct negotiation for a period of 30 days.

Step 2: Mediation

If negotiation fails, disputes shall be submitted to mediation under the rules of the Cyprus Chamber of Commerce and Industry.

Step 3: Arbitration or Litigation

For disputes exceeding €10,000, parties may choose binding arbitration or proceed to court litigation in accordance with governing jurisdiction.

Severability Clause

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction:

  • The invalid provision shall be severed from the agreement
  • The remaining provisions shall continue in full force and effect
  • The parties will negotiate in good faith to replace the invalid provision
  • The overall intent and purpose of the agreement shall be preserved

Terms Modification Policy

MetricWise reserves the right to modify these Terms and Conditions at any time. Changes will be effective upon:

  • Notice: Email notification to registered users at least 30 days before effective date
  • Publication: Posting updated terms on our website with revision date
  • Acceptance: Continued use of services constitutes acceptance of modified terms
  • Objection: Users may terminate services if they disagree with modifications

Additional Legal Provisions

Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any executed service agreements, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements.

Assignment Rights

You may not assign or transfer your rights under this agreement without our written consent. MetricWise may assign this agreement in connection with a merger, acquisition, or sale of assets.

Waiver Provisions

No waiver of any provision shall be deemed a further or continuing waiver. Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Statute of Limitations

Any action or proceeding arising from or relating to this agreement must be commenced within one year after the cause of action accrues, or such action shall be barred.
